The Internal Revenue Service (SRI) resolved to establish the transitory regime applicable for fiscal year 2021 for the filing of the information and documentation established in articles 131 and 263 of the Companies Law[1].
As a reminder, following the reforms to articles 131 and 263 of the Companies Law by the Law to Modernize the Companies Law enacted in December 2020, the legal representative of limited liability companies and corporations must file with the national tax authority, in January of each year, the list of foreign companies or legal entities that appear as their members, specifying their corresponding names, nationalities, and domiciles, together with notarized photocopies of the certificates of legal existence in the country and the complete list of partners or shareholders of the foreign company and its members until the corresponding individual is identified.
The SRI resolution establishes that the companies required to file the above information and documentation in January 2021 must do so by January 31, 2021 through the website of the Superintendency of Companies, Securities, and Insurance (www.supercias.gob.ec) for this one time only, and comply with the specifications and the procedure provided for such purpose by the site.
